1. Who we are
ExitSignals is a trading name of Team Dimensions Ltd. Team Dimensions Ltd is the controller of the personal data this policy describes, which means we decide how it’s used. “We”, “us” and “our” mean Team Dimensions Ltd.
- Registered in England and Wales, company number 08348964
- Registered office: 128 City Road, London, EC1V 2NX
- Email: [email protected]
- Registered with the Information Commissioner’s Office (ICO), number ZC238097
2. Details you give us
When you ask for a sample, our form asks for your name, your firm, your work email address, your firm’s FCA firm reference number and the area your clients come from. You can also give us your phone number, and tell us you’d like a short call.
When you ask about a pilot or a team licence, our form asks what you’d like, your name, your firm and your work email address. You can also give us your phone number and a message.
If you send us a list of companies to leave out of your events, we ask for company names or company numbers only, not the names of people.
When you use ExitSignals as a subscriber, we keep a record of which events each user viewed and when, so that your firm and we can show how the data was used.
When you email us, we receive your email address, your message and anything else you include.
3. How we use them
We use the details you give us to:
- check that your firm is authorised by the Financial Conduct Authority, using the public FCA register;
- prepare and send the sample you asked for;
- plan and quote for a pilot, seats or a licence you ask about;
- leave out the companies you name;
- answer your questions, talk to you about your sample and ExitSignals, and arrange a call if you asked for one; and
- keep a record of what we’ve sent you, what we’ve agreed, and which events your users viewed.
The law allows this because it’s in our legitimate interests, and yours, for us to answer your request and follow it up, and to keep ExitSignals to the firms it’s meant for. If you go ahead with a subscription, we also use your details to provide it, as part of our agreement with you. You can object at any time (section 10).
We won’t add you to a mailing list unless you ask us to, and we never sell your details or give them to anyone else for their own marketing.
4. When you visit the site
Hosting and security
Cloudflare hosts this site. To show you its pages and protect it from attacks, Cloudflare processes your IP address and the details your browser sends, such as its type and version.
Page statistics
We use Cloudflare Web Analytics to count visits and see how quickly our pages load. It doesn’t use cookies or store anything on your device, and Cloudflare says it doesn’t collect or use visitors’ personal data.
Checking you’re a person
When you start filling in one of our forms, the page loads Cloudflare Turnstile, which checks that you’re a person rather than an automated program. To do this, Cloudflare looks at signals from your browser and connection, such as your IP address and browser details. Cloudflare uses them to run the check for us, and also, as a controller in its own right, to improve Turnstile. Cloudflare’s Turnstile privacy addendum explains more.
Apart from these Cloudflare services, our pages load nothing from other websites. Our fonts and images come from our own site.
5. Cookies
We don’t use cookies for statistics or advertising, and we don’t use any advertising or tracking tools. Cloudflare may set cookies that are strictly necessary to keep the site secure, such as cookies that help it spot bots; Cloudflare’s cookie policy lists them. These don’t need your consent, because they’re needed to keep the site secure.
6. People named in our events
This section is for people who appear in ExitSignals, such as the sellers, shareholders and directors of a company that has been sold, wound up or has bought back its shares. We didn’t collect this information from you, so the law requires us to tell you what we hold, where it came from and what you can do about it.
What ExitSignals does
ExitSignals tells firms authorised by the Financial Conduct Authority, such as wealth managers, private banks and independent financial advisers, about business sale and liquidity events at UK companies: for example, a company sold to a new owner, a solvent liquidation or a share buyback. Each event says what happened, how it’s confirmed, and who was involved, so that a firm can consider offering its services, usually through an introduction from the company’s professional advisers.
Where the information comes from
From public records at Companies House: the register of people with significant control, the registers of directors, and companies’ filings, including accounts, confirmation statements, returns of shares bought back and liquidation filings. We don’t buy personal data from data brokers, and we don’t collect it from social media, property records or the press.
What we hold about you
- Your name as it appears in the filings, and your role: for example shareholder, director or person with significant control.
- The company and the event, the filings behind it and their dates.
- The band your shareholding fell in (for example 25–50%), and a band for the value of the stake or the money returned (for example £2.5–5m), with how we worked it out.
- Your month and year of birth, as published on the public register. We use it only to tell people with the same name apart; we never show it, or your age, in an event.
We never hold or show your home address, your personal phone number or email address, your exact age, or a figure for your personal wealth. Events describe what a company’s filings show; they don’t predict what you will do.
Why the law allows it
We rely on legitimate interests: ours, and those of the regulated firms we work with, in knowing about business sale and liquidity events recorded in public filings, so that they can offer their services. We think those interests are balanced against yours because the information is already public, we use only what an event needs, we show bands rather than figures, we limit who can see it, and we stop whenever you object.
ExitSignals is not yet sharing real events with anyone. Before it does, we will complete a legitimate interests assessment and a data protection impact assessment, and we will write to people included in events to tell them about it, as Article 14 of the UK GDPR requires.
Who receives it
Only users at firms authorised by the Financial Conduct Authority, each with their own named seat. We check each firm on the FCA register, and we keep a record of every event each user views. Our terms require firms to keep events confidential, to follow data protection law, the marketing rules and the FCA’s rules, never to try to find your home address or personal contact details from an event, and to honour any objection at once.
Your right to object
You can object at any time, and you don’t need to give a reason. Your right to object to direct marketing is absolute: if you object, we stop including you in events the same day we receive your request, we tell any firm that viewed an event naming you that you’ve objected, and we keep a short record of your request so that you don’t appear again. To object, email us with “Privacy request” in the subject line, or write to us at our registered office.
7. Who we share data with
We use these service providers, who act on our instructions:
- Cloudflare, for website hosting and security, page statistics and the Turnstile check;
- Postmark, which delivers the emails our site and service send, such as your request for a sample and our weekly event emails; and
- the providers of our email and office software.
We share events only with the subscribing firms described in section 6. We may also share information with our professional advisers, such as lawyers and accountants, and with authorities where the law requires it. We don’t sell personal data.
8. Transfers outside the UK
Cloudflare and Postmark are based in the United States and may process personal data outside the UK. When they do, we rely on safeguards recognised under UK law, such as the UK Extension to the EU–US Data Privacy Framework or the UK International Data Transfer Agreement. Email us if you’d like details.
9. How long we keep data
- Requests for samples, enquiries, and our emails with you: up to two years after we were last in touch, unless you become a customer.
- Lists of companies to leave out: until you stop using ExitSignals, or sooner if you ask.
- Events: shown for 24 months after the filing they come from, then removed. We update or remove an event sooner if the public record changes.
- The record of which events each user viewed: for six years, so that we and the firm can answer questions about how the data was used.
- Requests not to be included in events: for as long as we provide ExitSignals, so that you don’t appear again. We keep only what we need to recognise you.
- Cloudflare and Postmark keep their own technical records, such as security and email delivery logs, for limited periods.
10. Your rights
Under UK data protection law, you have the right to:
- ask for a copy of the personal data we hold about you;
- ask us to correct it if it’s wrong or incomplete;
- ask us to delete it, or to limit how we use it;
- object to our using it, including for direct marketing, which we’ll always stop; and
- in some cases, ask for your data in a form you can take elsewhere.
To use any of these rights, email us with “Privacy request” in the subject line. We act on objections the same day, and reply to other requests within one month. There’s normally no charge.
11. Complaints
If you’re unhappy with how we’ve used your data, please tell us first, so that we can try to put it right. You can also complain to the Information Commissioner’s Office, at ico.org.uk or on 0303 123 1113.
